These terms and conditions govern all work carried out by FormStrata Ltd ("we", "us", "our") for clients ("you", "the client"). By placing an order or instructing us to proceed with any work, you agree to be bound by these terms. If you have any questions please contact us before placing your order.
1. Definitions
- "Services" means 3D design, design alteration, 3D printing, site visits, and any related services provided by FormStrata Ltd.
- "Order" means a confirmed instruction to proceed with Services, following acceptance of a quote.
- "Quote" means a written estimate of cost and lead time provided by FormStrata Ltd prior to an Order being placed.
- "Deliverables" means any physical parts, digital files, or documentation produced as part of the Services.
2. Quotes & Orders
All quotes are valid for 30 days from the date of issue unless otherwise stated. A quote is not a binding contract — it is an offer to carry out work at the stated price, subject to these terms.
An Order is confirmed when the client provides written acceptance of a quote (by email or signed quote return) and the deposit invoice has been paid. We reserve the right to decline any Order at our discretion.
Any changes to the scope of work requested after an Order is confirmed may result in a revised quote and additional charges. We will notify you before proceeding with any out-of-scope work.
3. Pricing & Payment
All prices are quoted exclusive of VAT unless stated otherwise. FormStrata Ltd is VAT registered — VAT will be applied at the prevailing rate and shown on all invoices once our VAT registration number has been confirmed.
Standard payment terms: 50% deposit is required to confirm an Order. The balance is due upon completion, prior to dispatch or collection of Deliverables.
Trade accounts: Clients approved for a trade account may be offered 30-day payment terms. Trade account status is granted at our sole discretion and may be withdrawn at any time.
We reserve the right to charge interest on overdue invoices at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Intellectual Property
Where FormStrata Ltd creates original 3D designs or files as part of the Services, ownership of those designs transfers to the client upon receipt of full payment. Until full payment is received, all intellectual property rights in the Deliverables remain with FormStrata Ltd.
Where the client provides existing files or designs for us to work with, the client warrants that they have the right to use and share those files and that doing so does not infringe any third-party intellectual property rights. The client indemnifies FormStrata Ltd against any claims arising from the use of client-supplied files.
FormStrata Ltd retains the right to use images of completed work for portfolio and marketing purposes, unless the client requests otherwise in writing.
5. Confidentiality
We treat all client project information, files, designs, and business details as strictly confidential. We will not share client information with any third party without prior written consent, except where required by law.
A Non-Disclosure Agreement (NDA) is available on request and will be signed prior to commencement of work where requested.
6. Lead Times & Delivery
Lead times stated in quotes are estimates and not guaranteed unless expressly confirmed in writing. We will make every reasonable effort to meet agreed timescales and will notify the client promptly if a delay is anticipated.
Risk in the Deliverables passes to the client upon dispatch. We recommend that clients inspect all deliveries promptly on receipt. Any damage or discrepancies must be reported to us within 48 hours of delivery.
Delivery costs are not included in quotes unless specifically stated. Where we arrange delivery, the cost will be added to the final invoice.
7. Quality & Inspection
All Deliverables are inspected prior to dispatch in accordance with our documented quality management system, aligned with ISO 9001:2015 principles. An inspection certificate is provided with each order on request.
FDM 3D printing involves inherent process tolerances. Unless specific tolerances are agreed in writing at the time of quoting, standard FDM dimensional tolerances apply (typically ±0.2–0.5mm depending on geometry and material). We will advise if your application requires tighter tolerances that may require a different process.
8. Cancellations & Returns
Orders may be cancelled by the client prior to production commencing, in which case the deposit will be refunded less any design work or material costs already incurred.
Once production has commenced, cancellations will be charged at the proportion of work completed. The deposit will be retained as a minimum cancellation fee.
As Deliverables are produced to your specific requirements, returns are only accepted where parts have been produced incorrectly or are defective. In such cases, we will arrange a reprint or refund at our discretion.
9. Limitation of Liability
FormStrata Ltd's total liability to the client in connection with any Order shall not exceed the value of that Order.
To the extent permitted by law, we shall not be liable for any indirect, consequential, or economic loss including but not limited to loss of profit, loss of production, or equipment downtime arising from the use of our Deliverables.
The client is responsible for ensuring that 3D printed parts are suitable for their intended application. We are happy to advise on material selection and design for function, but we cannot accept liability for parts used in applications not disclosed to us at the time of quoting.
Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Site Visits
Site visit fees cover travel within 30 miles of our North West England base. Travel beyond this distance will be charged at 25p per mile. Site visit fees will be credited against any subsequent order placed within 30 days of the visit, where the order value exceeds £250.
The client is responsible for ensuring a safe working environment during any site visit and for providing necessary access to equipment or areas to be surveyed.
11. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to supply chain disruptions, material shortages, equipment failure, or acts of God.
12. Data Protection
FormStrata Ltd processes personal data (such as name, email address, phone number, and company details) provided by clients in connection with quotes and Orders. This data is processed for the purposes of delivering the Services, communicating with clients, and maintaining business records.
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We do not sell or share client personal data with third parties except where required to deliver the Services or comply with a legal obligation.
Clients have the right to request access to, correction of, or deletion of their personal data at any time by contacting [email protected]. Data is retained for a minimum of 6 years in line with HMRC requirements for financial records.
13. Dispute Resolution
In the event of any dispute arising from or in connection with these terms or any Order, both parties agree to first attempt to resolve the matter through good faith negotiation within 14 days of the dispute being raised in writing.
If the dispute cannot be resolved through negotiation, the parties may agree to refer the matter to mediation before initiating court proceedings. Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from the courts where necessary.
14. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We reserve the right to update these terms and conditions from time to time. The version in force at the time an Order is confirmed will apply to that Order. The latest version is always available at www.formstrata.co.uk/terms.html.
